जुलाई 1805 में कार्नवालिस दोबारा गवर्नर जनरल बनकर भारत आए । लेकिन 5 अक्टूबर 1805 को बुखार आ जाने की वजह से , इनकी गाज़ीपुर (उत्तर प्रदेश) में मृत्यु हो गई ।गाजीपुर में ही इनका मकबरा बना हुआ है ,जो कि भारतीय पुरातत्व सर्वेक्षण की निगरानी में है।
